Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of GigCove's website, products, and services ("Service"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Service. We may modify these Terms at any time, and your continued use constitutes acceptance of any changes.

GigCove is operated by GigCove ("Company," "we," "us," or "our"), located in Dallas, Texas, United States.

Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Account Registration

To access certain features, you must create an account. You agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Keep your password secure and confidential
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

Your Content

You retain full ownership of your content. Any audio files, setlists, contacts, comments, and other materials you upload or create ("Your Content") remain your property. We claim no ownership rights over Your Content.

By uploading content, you grant us a limited license to:

Store, display, and transmit Your Content as necessary to provide the Service
Create backups for data protection purposes
Share Your Content with users you explicitly authorize (e.g., collaborators, band members)

This license is non-exclusive, royalty-free, and exists solely for the purpose of operating the Service. We will never use Your Content for marketing, AI training, or any purpose outside of providing the Service to you.

Content Responsibilities

You are responsible for Your Content and must ensure that:

You own or have the necessary rights to upload and share the content
Your Content does not infringe any third-party intellectual property rights
Your Content does not violate any applicable laws or regulations
Your Content does not contain malware, viruses, or harmful code

Acceptable Use

You agree not to use the Service to:

Violate any laws or regulations
Infringe on intellectual property rights of others
Upload content you don't have rights to share
Distribute malware, spam, or malicious content
Harass, abuse, or harm other users
Attempt to gain unauthorized access to the Service or other accounts
Interfere with or disrupt the Service's operation
Circumvent any access controls or usage limits
Scrape, crawl, or collect data without permission
Use the Service for any illegal or unauthorized purpose
Impersonate any person or entity
Upload content that is illegal, defamatory, or harmful

Service access and payments

GigCove account settings currently provide account and studio controls. They do not include self-service subscription purchase, recurring billing or subscription cancellation.

If you have separately agreed to a paid service, the price, payment schedule and cancellation terms in that agreement apply. Contact support@gigcove.com for billing questions. Existing agreements and rights are unaffected by this clarification.

Any future paid plan will show its price and terms before you agree to purchase it. See our payment and refund information.

Intellectual Property

The Service, including its design, features, code, and branding (excluding Your Content), is owned by GigCove and protected by intellectual property laws. You may not:

Copy, modify, or distribute our software or content
Reverse engineer or attempt to extract source code
Use our trademarks without written permission
Remove any copyright or proprietary notices

Copyright Infringement (DMCA)

We respect intellectual property rights and respond to valid DMCA takedown notices. If you believe content on our Service infringes your copyright, please send a notice to including:

Identification of the copyrighted work
Identification of the infringing material and its location
Your contact information
A statement of good faith belief that the use is not authorized
A statement under penalty of perjury that your notice is accurate
Your physical or electronic signature

We may terminate accounts of repeat infringers.

Third-Party Services

The Service may integrate with or link to third-party services. We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is at your own risk and subject to their terms.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

Scheduled maintenance (we'll provide advance notice when possible)
Emergency repairs or updates
Factors beyond our control (network issues, natural disasters, etc.)

We are not liable for any loss or damage resulting from Service unavailability.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIGCOVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

Indemnification

You agree to indemnify and hold harmless GigCove, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the Service
Your Content
Your violation of these Terms
Your violation of any third-party rights

Termination

You may terminate your account at any time by contacting us or using account settings. We may suspend or terminate your account if you violate these Terms or for any reason with notice.

Upon termination:

Your right to use the Service ends immediately
We may delete Your Content after a reasonable period
Provisions that should survive termination will remain in effect

You may request an export of Your Content before termination.

Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through:

Informal Resolution: Contact us at first. We'll try to resolve disputes informally within 30 days.
Binding Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration in Dallas, Texas, under the rules of the American Arbitration Association.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions.

General Provisions

Entire Agreement: These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and GigCove.
Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
Waiver: Failure to enforce any right does not waive that right.
Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
